1. Acceptance of Terms

By accessing or using RhinoX Ledger, you confirm that you are at least 16 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms. If you are purchasing a licence on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

RhinoX Ledger is a desktop accounting application (Windows, macOS, and Linux) with an optional companion mobile application for read-only viewing (Android and iOS). Key features include:

• Inventory management with multi-unit, batch, and expiry tracking
• Speed POS (Point of Sale) with split-payment support
• Double-entry accounting engine with vouchers and journal entries
• Financial reporting: P&L, balance sheet, trial balance, and sales analytics
• Optional manual cloud backup and sync via a personal Supabase account

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice to registered users.

3. Accounts & Registration

To access certain features (including cloud backup and licence management), you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your account credentials and not share them with third parties.
• Notify us immediately of any unauthorised use of your account at rhinoxledger@gmail.com.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts found to be in violation of these Terms.

4. Licence Grant

Subject to your compliance with these Terms and payment of any applicable fees, Studio Habre grants you a limited, non-exclusive, non-transferable, revocable licence to install and use RhinoX Ledger on devices that you own or control, solely for your internal business purposes.

This licence does not include the right to:

• Copy, modify, adapt, translate, or create derivative works of the application.
• Reverse-engineer, decompile, or disassemble the application except as permitted by applicable law.
• Sublicense, sell, rent, lease, or otherwise transfer your licence to any third party.
• Remove or alter any proprietary notices, labels, or branding within the application.

5. Subscriptions & Payments

RhinoX Ledger offers the following licence tiers priced in Nepalese Rupees (NPR):

All prices are exclusive of any applicable taxes (e.g., VAT) unless stated otherwise. Taxes may vary by jurisdiction. Payments are processed securely through our third-party payment provider. Your subscription is activated upon successful payment confirmation.

Subscriptions are not automatically renewed unless explicitly stated in your checkout flow. You will receive email reminders before your licence expires.

6. Refund Policy

We offer a 7-day free trial with full access to all features. This trial period is intended to allow you to evaluate whether RhinoX Ledger meets your needs before purchasing.

Given the nature of downloadable software, refunds are generally not provided after purchase. However, we may issue refunds at our sole discretion in the following circumstances:

• The application fails to function due to a confirmed bug that is not resolved within a reasonable timeframe.
• A duplicate or accidental payment was made.
• The request is made within 7 days of purchase and the application has not been substantially used.

7. Intellectual Property

RhinoX Ledger, including all source code, designs, graphics, user interface elements, trademarks, and brand assets, is the exclusive intellectual property of Studio Habre and is protected by applicable copyright, trademark, and intellectual property laws.

Nothing in these Terms transfers any ownership or intellectual property rights to you. Your only right is the limited licence granted in Section 4.

8. Acceptable Use

You agree not to use RhinoX Ledger to:

• Violate any applicable local, national, or international law or regulation.
• Engage in fraudulent, deceptive, or illegal financial activities.
• Attempt to gain unauthorised access to our systems or servers.
• Distribute malware, viruses, or other harmful code through the application.
• Impersonate Studio Habre or claim that your product is endorsed by us.
• Use the application in any way that could damage, disable, or impair the service.

9. Your Data

You retain full ownership of all business data you create, input, or manage within RhinoX Ledger. We claim no intellectual property rights over your data.

Since data is stored locally on your device, you are solely responsible for maintaining adequate backups. Studio Habre is not liable for any data loss resulting from device failure, accidental deletion, or other circumstances beyond our control.

If you choose to use our optional cloud backup feature, you authorise us to store your encrypted data on Supabase servers solely for the purpose of enabling you to restore it. We do not access, analyse, or share your business data.

10. Disclaimers

RhinoX Ledger is provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, Studio Habre disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• That the application will be uninterrupted, error-free, or free from viruses or harmful components.
• That the financial calculations or reports generated by the application are accurate, complete, or suitable for tax, audit, or regulatory filing purposes without independent verification.

RhinoX Ledger is a tool to assist with bookkeeping. It does not constitute professional accounting, legal, or tax advice. Always consult a qualified professional for financial and compliance matters.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Studio Habre and its affiliates, officers, employees, and agents shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, business, or goodwill.
• Business interruption or loss arising from the use or inability to use the application.

In no event shall our total liability to you for all claims exceed the amount you paid us in the 12 months preceding the claim, or NPR 5,000, whichever is greater.

12. Termination

You may terminate your account and stop using RhinoX Ledger at any time. Termination does not entitle you to a refund for any unused portion of a paid licence unless required by applicable law.

We may suspend or terminate your account immediately and without notice if:

• You materially breach these Terms and fail to remedy the breach within 7 days of notice.
• We are required to do so by law or regulatory authority.
• Continued provision of the service would expose Studio Habre to legal or reputational risk.

Upon termination, all licence rights granted to you will cease. Sections 7, 10, 11, and 13 survive termination.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Nepal, without regard to its conflict of law principles.

Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to the competent courts of Nepal.

14. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes via in-app notifications and/or email at least 14 days before the changes take effect. Your continued use of RhinoX Ledger after the effective date of the revised Terms constitutes your acceptance.

We recommend reviewing these Terms periodically. The "Last updated" date at the top of this document will reflect any changes.
